Welcome to Alterity (Pvt) Ltd, a platform that enables the creation and sale of NFC-enabled business cards. These Terms and Conditions govern your access to and use of our website, mobile application, and related services (collectively, the "Platform"), as well as the purchase and use of our products. By accessing or using the Platform, you agree to be legally bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Eligibility and User Responsibilities

1.1. You must be at least 18 years of age or have legal capacity under applicable local law to enter into contracts and use our Platform.

1.2. You are responsible for maintaining the confidentiality of your account credentials and any activity under your account.

1.3. You agree to provide accurate, current, and complete information during registration, onboarding, and ongoing use of the Platform.

1.4. You may not use our Platform for any unlawful, abusive, fraudulent, or unauthorized purposes.

2. Platform Information and Service Availability

2.1. We aim to ensure that descriptions, features, and availability details of the Platform and related services are accurate. However, we do not warrant that such information is error-free, complete, or current at all times.

2.2. Platform features, service availability, and commercial terms may change from time to time. Any promotional or commercial arrangements may be subject to separate written terms.

2.3. Where paid services are offered, applicable fees, taxes, billing terms, and invoicing arrangements will be communicated through the appropriate commercial channel.

3. Accounts, Access, and Organization Responsibilities

3.1. Access to the Platform may be granted to organizations, administrators, employees, and other authorized users designated by the subscribing organization.

3.2. Each organization is responsible for managing its users, permissions, internal approvals, and use of the Platform in accordance with these Terms.

3.3. We reserve the right to suspend, restrict, or terminate access where we reasonably believe there has been misuse, unauthorized access, security abuse, or a violation of these Terms.

3.4. Organizations are responsible for ensuring that data submitted by their users is accurate, lawful, and authorized for use on the Platform.

4. Support, Changes, and Service Continuity

4.1. We may update, improve, suspend, or discontinue parts of the Platform from time to time in order to maintain security, reliability, and service quality.

4.2. We will use commercially reasonable efforts to maintain service availability, but uninterrupted or error-free operation cannot be guaranteed at all times.

4.3. Support, onboarding, and account assistance may be provided through our published channels or separate commercial arrangements.

5. Commercial Terms and Termination

5.1. Any paid subscriptions, enterprise arrangements, or service engagements may be governed by separate commercial terms, proposals, invoices, or written agreements.

5.2. We may terminate or suspend access where an organization materially breaches these Terms, fails to meet agreed obligations, or uses the Platform in a manner that creates legal, operational, or security risk.

6. Intellectual Property Rights

6.1. All content on the Platform, including text, logos, graphics, design elements, configuration assets, and software code, is owned or licensed by us and protected under applicable copyright and trademark laws.

6.2. You are granted a limited, non-transferable, revocable license to access and use the Platform for personal or business purposes.

6.3. Any reproduction, modification, distribution, or unauthorized use of our content without prior written permission is strictly prohibited.

7. User Content and Organization Data

7.1. If you upload any logos, profile information, employee data, images, or other organization content, you warrant that you own or have the right to use and submit such content.

7.2. We are not liable for any third-party intellectual property violations caused by user-submitted content.

7.3. By uploading, you grant us a limited license to use, store, process, and display your content solely for operating, supporting, and providing the Platform.

8. Limitation of Liability

8.1. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from:

  • Use or misuse of the Platform or related services;
  • Errors, inaccuracies, service interruptions, or access delays;
  • Unauthorised access to user accounts or data.

8.2. Our total liability to you for any claim shall not exceed the total amount paid by you for the relevant service during the period permitted by applicable law.

9. Force Majeure

We shall not be held liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to natural disasters, internet failures, supply chain disruptions, regulatory actions, war or pandemics.

10. Termination

10.1. We reserve the right to suspend or terminate your access to the Platform at our discretion if you breach these Terms.

10.2. You may terminate your use at any time. Termination shall not relieve you of any obligations accrued prior to the effective date of termination.

11. Amendments

We may revise these Terms at any time without prior notice. Updated terms will be posted on this page with a new effective date. Continued use of the Platform constitutes your acceptance of any changes.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka, unless otherwise agreed.
